Upon an appeal by the Bank, the New Jersey Supreme Court has ordered a stay in the effectiveness of an order by the Passaic County Superior Court. As part of that action it directed that the annual member meeting scheduled for January 21, 2022 be delayed until further order of the Superior Court. Accordingly, as directed by the Supreme Court, the Bank will adjourn the annual meeting to February 21, 2022. Thereafter, the Bank will make subsequent adjournments as necessary to comply with the Court’s order.

Notice of Virtual Annual Meeting of Members To Be Held January 21, 2022.

Notice is hereby given that pursuant to the Bylaws, the Annual Meeting of the members of Spencer Savings Bank SLA (the “Bank”) will be held on Friday January 21, 2022 at 9:00 a.m. local time for the purpose of considering and voting upon the following matter:

  1. To elect two directors for a term of three years; and
    to transact such other business as may properly be presented at the meeting.

Members are entitled to cast their vote at the Annual Meeting, or any adjournment thereof, only if the Bank’s records show that you were a member of the Bank as of the close of business November 19, 2021, the record date. Only those savings members age 16 or older as of the record date and borrower members as of the record date who continue to be members on the date of the Annual Meeting or any adjournment or postponement of the Annual Meeting, will be entitled to vote at the Annual Meeting or any such adjournment or postponement, by voting virtually by ballot or by proxy. Former savings depositors and borrowers of Mariner’s Bank at the close of business on November 19, 2021 who continue their status with the Bank through the date of the Annual Meeting will be treated similarly as members. Concurrent with this notice, the Bank is mailing to all members as described above a Notice of 2022 Annual Meeting of Members, a Proxy Statement which provides information regarding the Annual Meeting and the proposal to be voted upon, and a Proxy Card providing the information necessary and the ability for members to cast their votes. All proxies must be filed with the Corporate Secretary of the Bank at 611 River Drive, Center 3, Elmwood Park, NJ 07407 no later than 5:00 p.m. local time on Tuesday January 11, 2022.

The Bank is committed to ensuring the health and well-being of our employees, members and community. In light of the ongoing health risks and related public health measures which have been instituted related to the COVID-19 pandemic, the Bank’s Annual Meeting of members will not be held in a physical manner with in person participation.

As permitted by New Jersey law, the Bank’s Annual Meeting will be held solely as a virtual meeting live via the internet, and not at any physical location. Members will be able to attend the Annual Meeting via live audio webcast. The 2022 virtual Annual Meeting of members of the Bank will be held on Friday, January 21, 2022 at 9:00 a.m. local time and will be conducted virtually via live webcast. To participate at this year’s Annual Meeting, members must register beforehand by visiting by 5:00 p.m. local time on January 19, 2022 (the “Registration Deadline”). Members will be asked to provide the control number located inside the shaded blue box on the proxy card provided to each member. After completion of the member’s registration by the Registration Deadline, further instructions, including a unique link to access the Annual Meeting, will be emailed to such member. Once registered such member will be able to listen to the Annual Meeting live, submit questions, and vote by online ballot.
